By accessing or using RallyForge ("Service"), operated by Invicta Systems LLC ("Invicta," "we," "us") at rallyforge.ai and related domains, you agree to these Terms of Service and our Acceptable Use Policy, which is incorporated by reference. If you do not agree, do not use the Service.
This document is a draft stand-in pending counsel review. It is not legal advice.
RallyForge is marketing campaign software for small businesses, creators, and teams — content planning, drafting, scheduling, and publishing across connected accounts. Features may change during preview, beta, or early access. We may add, modify, or remove functionality at any time.
You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.
You must comply with our Acceptable Use Policy. That policy is binding and includes a strict ban on sexual content, sexualization of minors / CSAM, graphic violence, illegal activity, fraud, malware, spam, harassment, hate, and IP infringement — including when using AI features. Without limiting the AUP, you also agree not to:
You retain ownership of content you submit to the Service, and of AI-generated outputs you generate through RallyForge for your use, to the extent ownership is recognized under applicable law. Invicta and RallyForge do not claim ownership of that content.
You grant Invicta a limited, worldwide, non-exclusive license to host, process, transmit, store, back up, and display your content solely as needed to operate, secure, support, and improve the Service. This license ends when your content is deleted from our systems, except for reasonable residual copies in backups or logs retained for a limited period, or where retention is required by law.
You represent that you have the rights needed for content you submit or publish through connected accounts. AI outputs may be similar across users who provide similar prompts or context. We do not warrant that AI-generated content is unique, exclusive to you, or free from third-party claims, including infringement. You are responsible for reviewing outputs before use or publication.
AI features may produce inaccurate, incomplete, or inappropriate text. You are responsible for reviewing and approving anything you publish. Do not rely on AI output as legal, financial, or professional advice. You must not use AI features to generate content prohibited by the Acceptable Use Policy.
RallyForge offers a Free tier and paid plans (Pro and Team), plus optional AI credit top-ups. Current pricing is shown in the product and at checkout when billing is enabled. As of this draft, Pro is $25/month and Team is $49/month; credit packs are available at $10 (500 credits), $25 (1,500 credits), and $50 (3,500 credits). Prices may change with notice where required by law.
When self-serve billing is enabled, paid subscriptions and credit purchases are processed through our payment processor (Stripe). Fees, renewal terms, and cancellation options will also be shown at checkout. You may cancel a paid subscription at any time; cancellation takes effect at the end of the current billing period unless stated otherwise at checkout.
Refunds are governed by Section 8 below. Billing may not be fully live during preview or early access; when it is not yet available, contact support@rallyforge.ai for billing questions.
This refund policy is a draft pending counsel review. It applies to RallyForge plans and purchases operated by Invicta Systems LLC.
Free tier. The Free tier does not involve charges and is not subject to refunds.
Paid subscriptions (Pro and Team). Subscription fees are generally non-refundable for partial billing periods. If you cancel, you keep access through the end of your current billing period; we do not provide prorated refunds for unused time unless required by applicable law or granted at Invicta's discretion.
Credit top-ups. One-time AI credit purchases are non-refundable once purchased and credited to your account. Unused credits remain on your account until used or until your account is closed, subject to plan limits and these Terms.
How to request a refund. If you believe you are entitled to a refund under law or due to a billing error, contact support@rallyforge.ai from the email on your account. Include your account email, purchase date, and a brief description of the issue. We will review requests in good faith.
Chargebacks. If you dispute a charge with your bank or card issuer without contacting us first, we may suspend your account while the dispute is investigated. Please email support before initiating a chargeback so we can help resolve billing issues.
Payment processor. When Stripe billing is enabled, payments and refunds (where issued) are processed according to Stripe's systems and these Terms. Nothing in this section limits any non-waivable refund rights you may have under applicable consumer protection law.
The Service integrates with third parties (e.g. hosting, authentication, email, SMS, AI, and social platforms). Your use of those services may be subject to their terms. We are not responsible for third-party outages or policy changes.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INVICTA SYSTEMS LLC AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) USD $100.
This section describes how RallyForge accounts may be closed or access may end. It is a draft process pending counsel review.
Ending your account (user-initiated). You may stop using the Service at any time. When self-serve billing is available, cancel any paid subscription from your account settings (or through the billing portal) so it does not renew. To delete your account and associated data, use in-product account settings where available, or email support@rallyforge.ai from the email on your account. We may ask you to verify your identity before processing deletion.
Suspension or termination by Invicta. We may suspend or terminate your access if you breach these Terms or our Acceptable Use Policy, fail to pay applicable fees, engage in fraud or abuse, or if we must do so for security, legal, or operational reasons. For many violations we will provide a warning and a chance to correct the issue when appropriate. For severe violations — including child sexual abuse material (CSAM), sexualization of minors, or other clearly illegal activity — we may terminate access immediately and without prior notice, and we may report activity to authorities where required or appropriate.
Effect of termination. When your account is closed or access ends, you will no longer be able to sign in or use paid features. Scheduled posts and publishing actions may be cancelled and will not run after access ends. Any unused subscription time or credits are handled according to Section 8 (Refund policy) and your plan terms.
Data after termination. How we retain, export, and delete account data is described in our Privacy Policy (Sections 7 and 8). Some information may be retained for security, billing, legal compliance, or dispute resolution for limited periods.
Appeals. If you believe your account was suspended or terminated in error, contact support@rallyforge.ai within fourteen (14) days of our notice (or within a reasonable time if no notice was possible). We will review good-faith appeals but are not obligated to reinstate accounts that violated these Terms or the Acceptable Use Policy.
Provisions that by their nature should survive termination — including payment obligations, disclaimers, limitations of liability, and dispute-related terms — will survive.
We may update these Terms. We will post the revised version on this page and update the "Last updated" date. Continued use after changes constitutes acceptance where permitted by law.

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules, unless your jurisdiction requires otherwise. Replace this section with counsel-approved language for your entity and jurisdiction.
